Module 1

Fundamental Knowledge - Structuring Governance for Corporate Performance (the Hardware)

3 days

  • Corporate Governance Fundamentals: What is it and why is it so important? 

  • Corporate Governance Challenges: Why it is so hard to make it work?

  • Corporate Governance Roles: Owners (Shareholders), Directors, Executives, and other Stakeholders

  • Value Creation, Delivery, and Capture by the corporation (management), the board, and the owners (an interesting idea here is to have a common session, then split into distinct groups, asking them to reflect on their contribution to value creation, the required and expected competencies, from them and the other groups, e.g. what are the mutual expectations of executive and non-executive governance actors)

  • Lessons learned and feedback to owners (Distinct discussions could be envisaged, with feedback)

Module 2

Governance Skills - Board and Executive Leadership - how to lead and follow for High Performance (Software and Peopleware)

3 days

  • Wrap-up: feedback on action plans since Module 1

  • Strategy and Change: how to acquire and develop opportunities? 

  • A multiplicity of strategy schools: strengths and weaknesses

  • Boards and Strategy: the role of the Board and the need for a Board Strategy

  • The challenge of Risk: the other side of the coin from purpose and strategy – why might we fail?

  • Governance in Crisis: Leadership, Management, and Oversight

  • Group Coaching on Personal Challenges: What Director do I wish to be?  Which Director Can I Be?

  • Lessons learned and feedback (Distinct discussions could be envisaged, with feedback)

Module 3

Committing to Governance - mindsets, challenges, dilemmas, and commitments

3 days

  • Wrap-up: feedback on action plans since Module 2: What is it we aim to influence and what is our impact?

  • Which world are we going towards:  Understanding the Environment we are facing – and will be facing

  • Our Changing Environment: Digitalisation and Globalisation

  • Cultures and Mindsets: what is our governance culture, and can we improve it?

  • The core ingredient:  Critical Thinking and Influence - How to apply and develop it?

  • Noble politics – and less noble ones …

  • Compliance, Ethics, and Conflict of Interest: How do we govern ourselves and others?

  • Sustainability : dream, north star, or illusion?

  • Lessons learned and feedback (Distinct discussions could be envisaged, with feedback)
